This document is published in accordance with Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2011, for access or usage of the domain Posbooks.com ("Website"), including the related mobile site and mobile application (collectively, the "Platform").

The Platform is owned by Swiftmark Digital Solutions, a company incorporated under the Companies Act, 1956, with its registered office at Miryalaguda Road, Haliya, Telangana, India (hereinafter "Platform Owner", "we", "us", "our").

Your use of the Platform and services is governed by these Terms and Conditions ("Terms of Use" or "Terms") and applicable policies incorporated by reference, including our Privacy Policy. By mere use of the Platform, you contract with the Platform Owner and these Terms constitute your binding obligations.

ACCESSING, BROWSING, OR OTHERWISE USING THE PLATFORM INDICATES YOUR AGREEMENT TO ALL TERMS AND CONDITIONS. PLEASE READ CAREFULLY BEFORE PROCEEDING.

For the purpose of these Terms, "you", "your", or "user" means any natural or legal person who agrees to become a user on the Platform. These Terms relate to your use of our website, SaaS software, mobile application, and related services (collectively, "Services"). Any conflicting terms proposed by you are expressly rejected.

These Terms and Conditions govern your access to and use of the POSBooks websites, SaaS platform, Android mobile application, APIs, and related services operated by Swiftmark Digital Solutions through the POSBooks brand. By creating an account, subscribing, downloading the app, or using the Services, you agree to these Terms.

If you are accepting these Terms on behalf of a business, you represent that you have authority to bind that business.

1. About the Services

POSBooks provides cloud-based tools for point of sale, inventory, purchases, sales, invoicing, GST/tax helpers, party ledgers, expenses/income, multi-branch/warehouse features (as per plan), HRM modules, reports, and related business utilities. Features available depend on your subscription plan, add-ons, and configuration.

2. Eligibility

You must be at least 18 years old and capable of entering a binding contract under Indian law. The Services are intended for lawful business use in India and other jurisdictions where we choose to offer them.

3. Account Registration and Security

• Provide accurate, complete registration and business information and keep it updated.
• You are responsible for all activity under your account and for protecting passwords, OTPs, devices, and API credentials.
• Notify us promptly at support@posbooks.com of unauthorised access.
• We may suspend accounts that appear compromised, abusive, or in breach of these Terms.

4. Subscriptions, Trials, Fees, and Taxes

• Paid plans, add-ons, and billing cycles (monthly/yearly or as displayed) apply as shown at checkout or in-app.
• Fees are generally payable in advance unless otherwise agreed in writing.
• Prices may change with notice for renewal periods; continued use after renewal constitutes acceptance.
• Applicable GST and other taxes may be charged as required by law.
• Unless required by law or expressly stated, fees are non-refundable once a billing period starts.
• Non-payment may result in suspension or limitation of features after any grace period we provide.

5. Acceptable Use

You agree not to:

• Use the Services for unlawful, fraudulent, or harmful purposes;
• Violate GST, tax, consumer, labour, or other applicable laws when generating invoices or records;
• Upload malware, attempt to hack, scrape, reverse engineer (except as permitted by law), or disrupt the Services;
• Infringe intellectual property or privacy rights of others;
• Resell, sublicense, or white-label the Services without our written permission;
• Use the Services to send spam or abusive communications; or
• Misrepresent your identity, GSTIN, or business credentials.

6. Your Content and Business Data

You retain ownership of data you submit ("Customer Data"). You grant POSBooks a limited licence to host, process, transmit, back up, and display Customer Data solely to provide and improve the Services and as described in the Privacy Policy. You are responsible for the accuracy and legality of Customer Data, including customer/employee personal data you enter.

7. Third-Party Services and Integrations

The Services may interoperate with third parties such as payment gateways, UPI apps, SMS/OTP providers, Firebase/Google services, printers, email providers, and hosting/storage providers. Your use of those services is subject to their terms. We are not responsible for third-party outages, fees, or acts/omissions.

8. Mobile Application (Android)

The Android app may request device permissions (camera, Bluetooth, notifications, files, location) to enable scanning, printing, uploads, and alerts. App updates may be distributed via Google Play or other authorised channels. Device compatibility and Play Store policies apply.

9. Intellectual Property

POSBooks, including software, logos, designs, documentation, and trademarks, remain our property or that of our licensors. Except for the limited right to use the Services under your subscription, no IP rights are transferred to you.

10. Confidentiality

Each party agrees to protect the other's confidential information with reasonable care and use it only for performing obligations under these Terms, except for information that is public, independently developed, or required to be disclosed by law.

11. Service Availability and Changes

We aim for high availability but do not guarantee uninterrupted or error-free operation. We may modify, add, or discontinue features, perform maintenance, or apply security updates. Material adverse changes to core paid features will be communicated where reasonably practicable.

12. Backups and Data Loss

We maintain reasonable backups as part of normal operations, but you should export/backup critical business records regularly. To the fullest extent permitted by law, we are not liable for data loss caused by your actions, device failure, third-party services, or force majeure events.

13. Suspension and Termination

You may stop using the Services at any time. We may suspend or terminate access for breach, non-payment, legal risk, or misuse. Upon termination, your right to access the Services ends. Data export/deletion requests may be sent to delete_request@posbooks.com or support@posbooks.com, subject to legal retention requirements.

14. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. POSBooks is a business software tool and does not provide legal, tax, or accounting advice. You remain solely responsible for tax filings, GST compliance, invoices, and statutory records.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, POSBOOKS AND ITS OWNERS, OFFICERS, AND SUPPLIERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU TO POSBOOKS FOR THE SERVICES DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

16. Indemnity

You agree to indemnify and hold harmless POSBooks and its personnel from claims, damages, losses, and expenses (including reasonable legal fees) arising from your Customer Data, your misuse of the Services, your breach of these Terms, or your violation of law or third-party rights.

Personal data is handled as described in our Privacy Policy at https://posbooks.com/privacy-policy.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Courts at Telangana, India shall have exclusive jurisdiction, subject to any mandatory consumer protections that cannot be waived. Parties shall first attempt good-faith resolution by contacting support@posbooks.com.

19. Changes to Terms

We may update these Terms by posting a revised version at https://posbooks.com/terms-conditions. Continued use after the effective date constitutes acceptance, except where mandatory law requires additional consent.
